General Terms of Use and Purchase

These Terms and Conditions (“Terms”) govern access to and use of https://bazootoon.com/ (the “Site”) and any purchases made through the Site. By accessing the Site, using any functionality on it, or placing an order, you agree to these Terms, our Privacy Policy, Refund & Returns Policy, Site & Artwork License Terms, IP Policy (Copyright, Trademarks & Takedown), and Legal Framework: Transformative Use, Parody, and Pastiche and any other related documents referenced herein (together, the “Legal Documents”).

Operator. The Site is operated by LADY PA LTD, company number 12780152 (“Company”, “we”, “us”, “our”). The Company address is Dept 6496a 126 East Ferry Road, Canary Wharf, London, United Kingdom, E14 9FP.

Business model. The Company offers licensed digital graphic works and provides users with the technical ability to place print-on-demand orders for physical products incorporating such works. Physical products are produced, fulfilled, and delivered by independent third-party fulfilment providers acting in their own name and on their own responsibility.

Graphic works. All graphic works made available on the Site are original creations by independent authors and are offered under applicable licence terms. Certain works may constitute humour, satire, parody, or pastiche and are created in accordance with the Company’s Legal Framework: Transformative Use, Parody, and Pastiche.

If you do not accept these Terms, you must not access or use the Site.

  1. Definitions

For the purposes of these Terms, the following definitions apply.

Customer / you means the individual who accesses or uses the Site and/or submits an order.

Products means physical goods manufactured and supplied by Fulfilment Partner(s) which may incorporate one or more Licensed Designs and which may be ordered through the Site.

Digital Products means downloadable digital files (including images, illustrations, vector files, packs, or similar digital content) made available on the Site and supplied under the applicable Design Licence Terms and/or any licence description shown at checkout.

Personalized Products means Products made to your specifications (for example custom text, size or colour selections, or other customization).

Licensed Design means any graphic design, illustration, artwork, image, vector, layout, or similar creative content made available on the Site, whether supplied as a Digital Product and/or reproduced on a Product.

Design Licence Terms (or “Licence Agreement”) means the separate licence document(s) referenced on the Site and/or at checkout (as may be updated from time to time) that set out the licence terms applicable to a particular Licensed Design and/or order.

Design Licence means the licence granted to you under the applicable Design Licence Terms in relation to a Licensed Design. The scope of the Design Licence (including whether it is exclusive or non-exclusive, transferable or non-transferable, and whether sublicensing is permitted) is determined solely by the applicable Design Licence Terms.

Fulfilment Partner means third-party provider(s) engaged by us to perform manufacturing/printing, packaging and shipping operations in relation to Products, including Printify and/or its printing partners.

Order means a purchase request submitted through the Site.

Business Day means a day other than weekends and public holidays (as determined by the relevant party processing the step).

  1. Acceptance and amendments

2.1 Acceptance. By accessing or using the Site, you confirm that you have read these Terms, understand them, and agree to be bound by them.

2.2 Updates. We may amend these Terms from time to time. The Last updated date indicates when the current version took effect. Continued use of the Site after changes take effect means you accept the updated Terms.

  1. Eligibility and authority

You must be able to enter into a legally binding contract under the laws applicable to you. If you use the Site on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

  1. Direct-to-consumer model and print-on-demand fulfilment

4.1 Not a marketplace. The Company acts as an independent Merchant of Record for transactions conducted on the Site. The Site is not operated as a marketplace, and the Company does not facilitate transactions between multiple independent sellers and buyers.

4.2 Print-on-demand and outsourced fulfilment. The Company does not manufacture, produce, print, assemble, or package Products itself. Products are made to order using a print-on-demand model. Manufacturing, printing, quality control at the production stage, packaging, delivery, and fulfilment are performed by Fulfilment Partner(s) acting in their own name and on their own responsibility.

When you submit an Order through the Site and it is accepted, you contract with the Company for the provision of the Licensed Design and for arranging the print-on-demand fulfilment of the Product incorporating that Licensed Design. Where a Product incorporates a Licensed Design, you may also be granted a Design Licence strictly in accordance with the applicable Design Licence Terms.

For the avoidance of doubt, the Company is not the manufacturer of the physical Product. However, nothing in these Terms is intended to exclude or restrict any mandatory consumer rights that apply to you, where applicable.

4.3 Production quality and division of responsibilities. The Company does not control manufacturing processes and does not conduct production-stage quality checks beyond preparation of design files. Responsibility for manufacturing defects, material quality, and production execution rests with the Fulfilment Partner, subject to applicable consumer protection laws.

As a general allocation of responsibility.

The Company is responsible for the Site, product listings, branding and design presentation, pricing, customer communications, and handling requests under the Legal Documents.

The Fulfilment Partner is responsible for manufacturing and printing, production-stage quality control, packaging, transfer to carriers, and shipment processing.

Nothing in this section limits your statutory rights against the Company as the contracting party for supply of the Product.

4.4 Practical implications. Because Products are made to order, production typically begins shortly after an Order is accepted, and returns or exchanges may be limited except as stated in the Refund & Returns Policy.

  1. Accounts (if available)

5.1 Certain features may require an account. You are responsible for maintaining the confidentiality of your login details and for all activity conducted under your account.

5.2 We may suspend or terminate an account where we reasonably suspect fraud, abuse, or a breach of these Terms.

  1. Product information, colours, and tolerances

6.1 We aim to present Products accurately. However, colours may vary due to monitor or device settings, and minor differences may arise due to printing processes, material batches, and product size constraints. Measurements may also be subject to reasonable tolerances.

6.2 Product mockups are illustrative. The final appearance of Products may differ slightly.

  1. Orders and acceptance

7.1 Placing an Order. When you place an Order, you confirm that the information you provide, including shipping address, size, variant selection, and any personalization details, is complete and accurate.

7.2 Acceptance. An Order is accepted when we confirm it, for example via email confirmation or an on-screen checkout confirmation. We may refuse or cancel an Order, including where payment is not authorized or is flagged, the address appears invalid or incomplete, we suspect fraud or misuse, or a Product is unavailable or mispriced due to an error.

7.3 Changes and cancellations. Because production may begin quickly after acceptance, changes or cancellations may not be possible once production starts. If you contact us promptly, we will try to accommodate changes where feasible; this is not guaranteed.

7.4 Personalized Products. Personalized Products may be excluded from return or exchange except for defects, damage, misprints, or fulfilment errors, as described in the Refund & Returns Policy.

  1. Pricing, taxes, and customs

8.1 Prices are displayed on the Site and may change for future purchases.

8.2 Taxes, VAT, duties, and customs charges may apply depending on destination. These may be collected at checkout or on delivery by authorities or carriers. Unless stated otherwise, you are responsible for such charges.

  1. Payments

9.1 Card payments only. Purchases are paid exclusively by bank card through our payment processor(s).

9.2 No stored value and no internal balances. We do not offer or support wallets, balances, top-ups, stored value, virtual funds, or pre-funded account functionality. We do not hold customer funds or maintain internal user balances. Each purchase is paid at checkout by card.

9.3 Authorization and accuracy. You represent that you are authorised to use the selected payment method and that payment information provided is accurate.

9.4 Failed payments. If payment is declined or reversed, we may cancel the Order or pause processing until payment is successfully completed.

9.5 No customer funds held. The Company does not store, hold, manage, or safeguard customer funds. Card payments are processed by authorised third-party payment processors at checkout. The Company does not operate payment accounts, wallets, stored value mechanisms, or similar facilities for users.

  1. Shipping, delivery, and risk

10.1 Fulfilment and carriers. Shipping is performed by Fulfilment Partner(s) and their carrier networks.

10.2 Estimated delivery timelines. Any shipping or delivery estimates displayed on the Site are non-binding. Delivery times can be affected by production capacity, carrier operations, customs clearance, peak periods, weather, or other third-party factors beyond the Company’s direct control. Actual delivery may vary.

10.3 Address accuracy. You are responsible for providing a correct and complete shipping address. If an Order is returned as undeliverable due to an incorrect address or a failure to collect, we may be able to reship at additional cost or provide a remedy as described in the Refund & Returns Policy.

10.4 Risk of loss. Unless mandatory law provides otherwise, risk of loss transfers to you upon delivery to the address you provided.

  1. Returns, refunds, replacements

11.1 Returns, refunds, and replacement remedies are governed by the Refund & Returns Policy, which is incorporated into these Terms by reference. It applies in addition to, and does not limit, any mandatory statutory rights and remedies available to you under applicable consumer protection laws.

11.2 Remedy ladder. Where appropriate, we may offer a reprint, replacement, or refund depending on the issue, evidence, and feasibility. The remedy is determined under the Refund & Returns Policy and applicable law.

  1. Intellectual property and permitted use

12.1 Site content. The Site and its content, including text, graphics, product listings, mockups, branding, and designs owned by or licensed to the Company, are protected by intellectual property laws.

12.2 Limited permission to use the Site. We grant you a limited, non-exclusive, non-transferable right to access and use the Site for personal shopping purposes. You must not copy, reproduce, distribute, publicly display, or create derivative works from Site content, scrape or crawl the Site or use automated tools to extract data, or reverse engineer or attempt to bypass Site security features.

12.3 Feedback. If you provide suggestions or feedback, you grant us the right to use that feedback without obligation to you.

12.4 Design Licence. Any Design Licence is granted only under the applicable Design Licence Terms. The grant, scope, and conditions of any Design Licence depend on the specific Design Licence Terms applicable to the relevant Licensed Design or Order. The licence type and scope may vary by Licensed Design and/or Order and may include rights such as transfer and/or sublicensing only where expressly stated in the applicable Design Licence Terms. Unless expressly granted, no rights in any Licensed Design are granted to you and no ownership of intellectual property is transferred.

If there is any inconsistency between these Terms and the Design Licence Terms, the Design Licence Terms prevail solely on matters relating to licensing of Licensed Designs. These Terms prevail for the Site, Orders, and supply of Products.

  1. Original artwork, inspiration, and third-party rights (no affiliation)

13.1 Original creations. All artwork and characters offered on the Site are original creations made by independent artists and made available under licence.

13.2 Inspiration and transformation. Artists may draw inspiration from general themes, genres, historical eras, and broad artistic styles found in literature and graphic arts. Each Licensed Design is newly created artwork and is not an official depiction of any third-party character. Designs are intended to be materially different in overall presentation, including styling, linework, colour palette, composition, clothing or props, and character portrayal. A detailed explanation of the legal basis, interpretative principles, and the Company’s internal rules governing transformative use, parody, and pastiche is set out in the Company’s Legal Framework: Transformative Use, Parody, and Pastiche.

13.3 No affiliation and no misleading use. The Company is not affiliated with, sponsored by, endorsed by, or approved by any third-party rights holder, publisher, studio, platform, or brand. You must not use any Product, Digital Product, or Licensed Design in a way that suggests official affiliation, sponsorship, endorsement, authorisation, or approval by any third party.

13.4 Third-party rights may still apply. The Company does not represent or warrant that use of a Licensed Design will be free from third-party intellectual property or related claims in every jurisdiction, including claims based on trade marks, passing off or misrepresentation, design rights, or similar laws. You are responsible for ensuring that your intended use complies with applicable law.

  1. User conduct

You agree not to violate laws or third-party rights, submit false information or impersonate others, engage in fraud, abuse, or intentional misuse of chargebacks, interfere with Site security or operations including malware, bots, or scraping, or use the Site in a way that harms the Company or other users.

  1. Third-party services and links

The Site may integrate with or link to third-party services, including payment processors, carriers, fulfilment services, and analytics providers. We are not responsible for third-party content, policies, or practices. Your use of third-party services may be governed by their own terms and privacy policies.

  1. Disclaimers

16.1 Site availability. Except where mandatory law requires otherwise, the Site and content are provided “as is” and “as available.” We do not guarantee uninterrupted access or error-free operation.

16.2 Product disclaimers. To the maximum extent permitted by law, we disclaim implied warranties, including merchantability and fitness for a particular purpose. Some jurisdictions do not allow certain disclaimers; where that is the case, mandatory rights apply.

16.3 Fulfilment and delivery. We do not guarantee production or delivery timelines. Any estimates are indicative only. The Company is not responsible for delays or failures caused by manufacturing partners, carriers, customs authorities, or other third parties, except where liability cannot be excluded under applicable law.

  1. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

If we are found liable, our total liability for any claim relating to an Order will not exceed the amount you paid for that Order, except where mandatory law requires a higher minimum.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

  1. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from claims and expenses, including reasonable legal fees, arising out of your misuse of the Site, breach of these Terms, or violation of third-party rights.

  1. Suspension and termination

We may block, restrict, suspend, or terminate your access to the Site, in whole or in part, at any time if we reasonably believe you have breached these Terms or if this is necessary to protect the Site, the Company, or others.

  1. Governing law and dispute resolution

20.1 Governing law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.

20.2 Dispute resolution. Any controversy or claim arising out of or relating to these Terms or your use of the Site shall be resolved by the courts of England and Wales. Each party bears its own costs.

20.3 Injunctive relief. We may seek injunctive or equitable relief in any court of competent jurisdiction to protect our rights.

20.4 Consumer rights. Nothing in this section limits mandatory consumer rights and remedies that apply in your country of residence.

  1. Miscellaneous

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

Entire agreement. These Terms and the Legal Documents constitute the entire agreement regarding the Site and Orders.

No waiver. Failure to enforce any provision is not a waiver.

Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights as part of business restructuring or a transfer.
